Position Title: Legal Counsel

Location: Islamabad – On-site

About the Role:

AIO is a fast-paced technology start-up seeking to disrupt the US restaurant industry with a range of technology and AI-based solutions. We require a dynamic individual familiar with technology startups or equipped to work in fast paced environments with short deadlines. As part of AIO’s legal department, the Legal Counsel will work on a range of commercial matters in the technology and restaurant industry such as commercial transactions, commercial contracts, data privacy, intellectual property, and funding.

What will be your responsibilities?

• Drafting, reviewing, vetting, and negotiating a wide range of commercial contracts and documents in connection with services, intellectual property, data privacy and funding
• Assisting, drafting, and filing patent applications with USPTO.
• Conducting legal research on, and staying up to date with, existing and new laws in the US pertaining to data privacy, AI, consumer protection, funding, tax, labour, intellectual property etc.
• Providing legal support to all departments of the Company on US and Pakistan Laws.
• Coordinating execution of agreements and legal documents with colleagues and counter parties.

What are we looking for and what does it require to be the right fit for this role?

• Holds a Bachelor of Laws degree from an accredited institution. Master's in law, admission to New York Bar or California Bar will be preferred.
• 3-5 years PQE with a fast-paced legal environment either at a renowned law firm or in-house at a technology company.
• Knowledge and understanding of US procedural and substantive laws.

Responsible and accountable for legal affairs & compliance activities relating to all Divisions: i) Crop Science, ii) Pharmaceutical, iii) Consumer Health, and iv) Enabling Functions.

YOUR TASKS & RESPONSIBILITIES:

• Collaborate with cross-functional teams to formulate and review legal strategy in alignment with business requirements.
• Provide strategic legal inputs to resolve license-to-operate (LTO) related issues and engage with key stakeholders to facilitate a conducive business environment.
• Support Mergers & Acquisitions or strategic investments/divestments in collaboration with relevant business/strategy and Global M&A teams.
• Manage litigation for and against the Company efficiently, including managing outside counsel, with a focus on resolving contentious issues.
• Monitor litigation for and against the Company.
• Draft, review, and negotiate contracts, agreements, and other legal documents related to trade, commercial, financial, and operational matters.
• Track legislative developments and emerging regulations to ensure timely business compliance.
• Collaborate with regional and global colleagues on critical matters and key projects.
• Implement global policies and develop local policies, SOPs, and procedures.
• Provide advice and innovative solutions on critical/high-risk matters, requiring critical thinking and calculated risk-taking.
• Advise on compliance policies/topics within the scope of Local LPC.

WHO YOU ARE:

• Education: University degree in law from a premier institute.
• Experience: 5-8 years as in-house counsel, preferably in corporate, commercial, M&A, or competition laws.
• Knowledge of judicial systems and litigation processes.
• Business partnering mindset and behavior.
• Strategic skills and analytical thinking, with the ability to reduce complexity.
• Ability to challenge the status quo and embrace change.
• Excellent communication skills; command of English (written & spoken).
